Are you ready to make a significant impact in a dynamic and fast-paced environment? We're looking for a Manager or Senior Manager to join our team and lead HR diligence and value creation efforts. In this role, you will drive HR due diligence, cost savings, and revenue enhancement initiatives that deliver measurable results for our clients.

Prior due diligence experience is required . We're seeking someone who can leverage their experience in HR consulting-whether in benefits, pensions, health, actuarial, executive compensation, or HR operations-to create value in transformative business transactions.

What will your typical day look like?

As a seasoned member of our Deal Transformation & Post Merger Integration Team (DT&PMI) Human Resources Due Diligence (HRDD) team, you will work directly with our diligence Directors and Partners to drive high-impact M&A pre-deal transactions. With your deep HR expertise and experience, you'll lead comprehensive, financially focused pre-signing due diligence efforts, providing critical insight into workforce dynamics and material deal drivers, particularly in the areas of compensation, benefits, and organizational design.

You will take the lead in evaluating complex, high-stakes HR components of transactions, including pensions, executive compensation structures, stock-based awards, change-in-control agreements, and health & welfare coverages. Your role will also include guiding value creation initiatives to help our private equity clients unlock growth opportunities, optimize cost structures, and maximize deal value.

As an experienced professional, you will be expected to not only manage due diligence tasks but also provide strategic guidance to clients, facilitate cross-functional team collaboration, and lead initiatives that drive tangible business results. You'll apply your in-depth knowledge and leadership to influence major deal outcomes, delivering actionable recommendations that directly impact deal structure, post-transaction integration, and overall business strategy.

Responsibilities:

  • Lead HR Due Diligence: Oversee the identification and analysis of risks and opportunities across compensation, benefits, compliance, and organizational culture, providing strategic insights that influence deal structure and value.
  • Strategic Deal Support: Assess and advise on the financial impact of HR-related deal drivers (e.g., pensions, executive compensation, change-in-control), helping shape key transaction decisions.
  • Data Management & Coordination: Manage the data flow, oversee document review from datarooms, and lead discussions to ensure accuracy and completeness of HR diligence findings.
  • Financial Modeling: Develop advanced financial models to assess deal impacts on metrics like EBITDA and debt structure, translating HR data into actionable insights.
  • Carve-out & TSA Assessments: Lead HR carve-out efforts, advising on standalone organizational design, HR costs, and Transition Service Agreements (TSAs).
  • Reporting & Communication: Prepare clear, high-level HR diligence reports, and present findings to senior stakeholders, ensuring alignment with overall deal objectives.
  • Cross-functional Collaboration: Work closely with finance, tax, IT leads and external advisors to integrate HR findings into broader transaction strategies.
  • Client Engagement: Build strong client relationships, providing strategic guidance on HR integration to drive post-deal value creation.
  • Leadership & Project Management: Lead, mentor, and manage teams to ensure high-quality, timely delivery of diligence outputs, driving multiple initiatives forward.

Travel: Hybrid work environment that includes client, office and home. Ad hoc travel may be required based on project needs.

Requirements:

  • Extensive HR Expertise: Advanced knowledge of HR operations, compensation, benefits, and organizational design, with a demonstrated ability to lead and provide strategic guidance on HR due diligence and integration.
  • Financial Acumen: Proven ability to assess and communicate the financial impact of HR-related elements (e.g., pensions, benefits, compensation structures) on deal models, EBITDA, and overall transaction value.
  • Advanced Technical Proficiency: Strong technical skills in financial modeling, data analysis, and reporting; expertise in financial statements and performance metrics is essential. Advanced proficiency in MS Excel, and experience with tools like Tableau or SQL is preferred.
  • Problem Solving & Decision Making: Strong critical thinking and problem-solving abilities with a demonstrated capacity to make strategic, data-driven decisions under tight deadlines and high-pressure situations.
  • Data Management & Analysis: Ability to navigate complex, imperfect, or incomplete diligence data and provide actionable, high-impact insights. Proven track record of synthesizing large datasets into clear, concise recommendations.
  • Exceptional Communication & Presentation Skills: Advanced ability to present findings effectively to senior leadership, clients, and stakeholders. Expertise in preparing impactful reports and presentations (MS PowerPoint), and the ability to write clear, strategic reports for senior stakeholders.
  • Bilingual Communication Skills (French/English):Due to the nature of the role requiring interaction with national and global clients, bilingualism in French and English is required for this position in Quebec. French is an asset in other locations.
  • Leadership & Mentorship: Proven experience leading teams or engagements, managing multiple priorities, and mentoring junior team members. Ability to drive results independently and take ownership of complex engagements.
  • Client Management: Strong client-facing experience with the ability to build and maintain senior-level relationships. Experience advising clients on HR-related matters in the context of M&A transactions.
  • Track Record of Success: A demonstrated history of consistently meeting or exceeding project deliverables and objectives, with a focus on driving value in high-stakes, complex environments.
  • Strategic Mindset & Growth Orientation: Ability to contribute to strategic decision-making, drive process improvements, and help shape the growth of a high-performing team in a fast-paced, evolving environment.

Minimum Experience:

  • 5+ years of progressive experience in HR consulting, with deep expertise in retirement plans, pensions, healthcare, executive compensation, benefits strategy, and HR operations.
  • Extensive experience in HR due diligence for M&A transactions, including leadership roles in identifying transaction risks, assessing compensation and benefit structures, and advising on integration or carve-out strategies.
  • Demonstrated ability to manage high-complexity M&A projects, collaborate with cross-functional teams (finance, tax, legal), and provide strategic HR insights that influence deal value and post-transaction integration.
  • Proven track record in client management and building strong, trusted relationships with senior leadership and private equity clients, guiding them through complex HR aspects of M&A deals.
  • Strong leadership and mentoring experience, with a history of managing teams, overseeing engagements, and ensuring timely and high-quality deliverables in a fast-paced environment.

Education and Certifications:

  • Bachelor's degree in a relevant field such as mathematics, actuarial science, statistics, economics, computer science, business, accounting, or finance.
  • A credentialed pensions or health actuary, or on the path to completing an ASA/ACIA designation, is highly preferred.

Total Rewards

The salary range for the Manager position is $83,000 - $175,000 and $105,000 - $234,000for the Senior Manager position, and individuals may be eligible to participate in our bonus program.
